Terms of Service and End User License Agreement

1. Acceptance of Terms These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether an individual or a corporate entity) and Prismworks LLC (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our website (prismworksglobal.com) and any applications, plugins, or software developed by us and distributed through the Atlassian Marketplace (collectively, the “Software” or “Service”).
By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, you are prohibited from using the Software.
2. License Grant Subject to your compliance with these Terms and payment of any applicable fees, Prismworks LLC grants you a limited, worldwide, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use the Software in conjunction with your authorized Atlassian host product (e.g., Jira or Confluence) for your internal business purposes.
3. Intellectual Property Ownership The Software, including all code, designs, algorithms, and documentation, is the exclusive property of Prismworks LLC and its licensors. The Software is protected by copyright, trademark, and other intellectual property laws. This agreement grants you a license to use the Software; it does not transfer any ownership rights to you.
4. Prohibited Uses To protect the integrity of our Software and the Atlassian ecosystem, you agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Modify, adapt, or create derivative works based on the Software.
- Rent, lease, distribute, sell, sublicense, or otherwise transfer the Software to any third party.
- Defeat, bypass, or circumvent any security mechanism or license key requirement in the Software.
- Use the Software to transmit malicious code, spam, or unlawful content.
- Use the Software for competitive analysis or to build a competing product.
5. Data and Privacy Your privacy is important to us. Our collection, use, and processing of your data are governed by our Privacy Policy. By using the Software, you consent to the data practices described in our Privacy Policy. For cloud-based Software, we strictly adhere to Atlassian’s Marketplace Security and Privacy guidelines.
6. Term and Termination This license is effective until terminated. Your rights under these Terms will terminate automatically without notice if you fail to comply with any of the provisions. Upon termination, you must cease all use of the Software and delete all copies from your systems. You may also terminate this agreement at any time by uninstalling the Software and notifying us.
7. Disclaimer of Warranties The Software is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Prismworks LLC does not warrant that the Software will be error-free, uninterrupted, or perfectly compatible with all future updates of Atlassian products.
8. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall Prismworks LLC, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of your use or inability to use the Software, even if we have been advised of the possibility of such damages.
9. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
